1. Acceptance of Terms

By accessing or using Dashboard AI ("Service"), you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Dashboard AI is a data visualization and analytics platform that enables users to:

• Upload and connect data from various sources
• Create AI-powered dashboards and visualizations
• Generate predictive analytics and insights
• Share dashboards via client portals
• Export reports to various formats

3. Account Registration

3.1 Account Creation

To use the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update this information as needed.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use of your account.

3.3 Account Requirements

You must be at least 16 years old to use the Service. If you are using the Service on behalf of an organization, you must have authority to bind that organization.

4. Subscription and Payment

4.1 Pricing Plans

Dashboard AI offers various subscription plans as described on our Pricing page. Features and limits vary by plan.

4.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in these Terms or required by law.

4.3 Free Trial

We may offer a free trial period. At the end of the trial, you will be charged for your selected plan unless you cancel before the trial ends.

4.4 Price Changes

We may change our prices with 30 days' notice. Price changes will take effect at your next billing cycle.

4.5 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months.

5. Your Data

5.1 Ownership

You retain all rights to the data you upload to Dashboard AI ("Your Data"). We do not claim ownership of Your Data.

5.2 License to Us

You grant us a limited license to use, process, and display Your Data solely to provide the Service. This license ends when you delete Your Data or close your account.

5.3 Responsibility for Data

You are responsible for ensuring you have the right to upload and share Your Data. You must not upload data that violates any laws, infringes third-party rights, or contains malicious content.

5.4 Data Security

We implement reasonable security measures to protect Your Data. However, no system is completely secure, and we cannot guarantee absolute security. See our Security page for details on our practices.

6. Acceptable Use

You agree not to use the Service to:

• Violate any laws or regulations
• Infringe intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Use the Service for competitive analysis or to build a competing product
• Resell or redistribute the Service without authorization
• Use automated systems to access the Service without permission
• Harass, abuse, or harm others

7. Intellectual Property

Dashboard AI and its content, features, and functionality are owned by us and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works without our permission.

If you provide feedback or suggestions about the Service, we may use this feedback without obligation to you.

8. Third-Party Services

The Service may integrate with third-party services (e.g., QuickBooks, Stripe, Google Sheets). Your use of these services is governed by their respective terms. We are not responsible for third-party services.

9. Disclaimers

9.1 Service Provided "As Is"

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

9.2 No Guarantee of Results

We do not guarantee that the Service will meet your requirements, be uninterrupted, or error-free. AI-generated insights and predictions are provided for informational purposes and should not be the sole basis for business decisions.

10. Limitation of Liability

To the maximum extent permitted by law, Dashboard AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

Our total liability for any claims under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Dashboard AI, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your Data or content you share through the Service

12. Termination

12.1 By You

You may terminate your account at any time by contacting us or using the account settings in the Service.

12.2 By Us

We may suspend or terminate your access to the Service immediately, without notice, if you violate these Terms or for any other reason at our discretion.

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete Your Data within 30 days of termination. Provisions that by their nature should survive termination will survive.

13. Dispute Resolution

13.1 Informal Resolution

Before filing a formal dispute, you agree to try to resolve the dispute informally by contacting us at legal@dashboard-ai.co.

13.2 Arbitration

Any disputes not resolved informally will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will take place in Massachusetts.

13.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive any right to participate in class actions.

14. General Provisions

14.1 Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles.

14.2 Entire Agreement

These Terms, together with our Privacy Policy and other policies referenced herein, constitute the entire agreement between you and Dashboard AI.

14.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

14.4 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

14.5 Assignment

You may not assign these Terms without our consent. We may assign these Terms without restriction.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.
